Welcome to Oparic.
These Oparic Terms of Service (“Terms”) are an agreement between you and Zhixu Technology (Beijing) Co., Ltd. (“we,” “us,” or “our”) concerning your download, installation, access, or use of the Oparic application, website, account, analysis workflows, subscriptions, and related services.
Read these Terms carefully, especially the provisions about fees, limitation of liability, termination, and dispute resolution. By registering an account, purchasing a service, or continuing to use Oparic, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, do not register, purchase, or use the services.
1. Services
- Oparic is desktop research-data software with supporting online services. It may provide format recognition, quality checks, analytical calculations, charts and file exports, accounts, licenses, updates, and issue reports.
- Available features, supported formats and operating systems, subscription tiers, service terms, and deliverables are those displayed in the application, on the official website, or on the purchase page at the relevant time.
- Some features depend on third-party software or environments such as Origin. Third-party products are independently provided by their owners and governed by their own licenses.
- Oparic is a research-data tool. It does not replace your professional judgment, experimental verification, statistical validation, or academic responsibility. You must determine whether the input, method, and output are suitable for your research purpose.
2. Account registration and security
- You must register with truthful, lawful, and valid information and have the right to use the phone number and receive its verification codes.
- Protect passwords, verification codes, credentials, and devices. Activity through your account is generally treated as your activity. Notify us promptly of unauthorized use.
- You may not sell, rent, or lend an account; bypass device, login, license, or feature restrictions; register accounts automatically in bulk; or maliciously consume service resources.
- If you use the service for an organization, you confirm that you have authority to accept these Terms for that organization.
3. Software license
- Subject to compliance with these Terms and possession of the required entitlement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license solely for lawful research, study, or internal work.
- Except where applicable law expressly permits, you may not reverse engineer, decompile, decrypt, disassemble, circumvent technical protection, modify, or create derivative works; remove rights notices; or copy, distribute, rent, sell, or provide the software or restricted features to a third party without permission.
- Programs, interfaces, workflows, documentation, trademarks, graphics, and other content in the software and services belong to us or their respective owners. These Terms transfer no intellectual-property rights.
- Open-source and third-party software is governed by its own terms. If those terms conflict with these Terms, the third-party terms govern that part.
4. User data and results
- You retain applicable rights in experimental data and files that you are authorized to process and in research outputs generated with Oparic. Except as necessary to provide the service or expressly agreed, these Terms do not transfer those rights.
- You must ensure that data you input, process, or actively submit is lawfully sourced and does not infringe intellectual property, trade secrets, privacy, or other rights.
- Routine Oparic analysis runs on your computer. Only when you actively use a clearly disclosed upload feature, such as an issue report, is the selected sample and related diagnostic information sent to us.
- You are responsible for retaining raw data and important results and for backing up files before an operation that may overwrite an existing file or project. Independently verify critical results.
- For personal-information processing, read the Oparic Privacy Policy, which forms part of these Terms.
5. Subscriptions, payment, and invoices
- The tier, term, price, eligibility for discounts, available features, and payment methods are those displayed on the purchase page when you place the order.
- After you confirm the order and payment completes, we deliver the corresponding entitlement to the account identified by the order. If payment-channel delay postpones delivery, do not pay again; query the order or contact us.
- A fixed-term service currently does not automatically charge or renew at expiration unless the purchase page clearly states otherwise and obtains your agreement.
- Education discounts apply only to eligible users and purposes shown on the page. We may reasonably verify eligibility. False materials or an improper transfer of eligibility may result in cancellation of the discount or entitlement.
- Invoice type, issuer, and request process are governed by the purchase page and applicable invoicing rules.
- Refund eligibility after digital-service delivery depends on service use, purchase-page disclosures, and applicable law. For duplicate payment, delivery failure, or another reasonable basis, submit order details using the contact information below; we will review the request under law. Mandatory statutory rights remain unaffected.
6. Acceptable use
You may not use Oparic to:
- violate law, regulation, research ethics, or academic standards;
- upload or process data you have no right to use or infringe privacy, intellectual property, trade secrets, or other rights;
- disrupt the service, distribute malware, probe or attack systems, or access an account or data without authorization;
- bypass payment, entitlements, account or feature restrictions, usage limits, or access-rate limits;
- impersonate another person, falsify transaction or eligibility information, commit fraud or money laundering, or conduct other unlawful activity; or
- use the service in a way likely to harm us, another user, or a third party's lawful rights.
7. Service changes, updates, and interruption
- To improve security, compatibility, and functionality, we may publish updates, adjust features, or stop maintaining old versions. Important changes will be announced through the website, application, or another reasonable channel.
- Maintenance, networks, devices, third-party services, force majeure, or security incidents may cause temporary interruption. We will take reasonable steps to restore service but do not guarantee uninterrupted or error-free operation.
- Free features, trials, and experimental features may be adjusted or discontinued. Purchased entitlements will be handled under the order, these Terms, and applicable law.
8. Breach and termination
- If you breach these Terms or law, we may issue a warning, restrict features, suspend the account, revoke improperly obtained entitlements, or terminate service according to severity, without waiving other remedies.
- You may stop using the service and contact us to close the account. Closure does not affect payment, refund, infringement, breach, or statutory-retention matters arising earlier.
- After termination, you must stop using expired paid features. Provisions concerning intellectual property, user data, liability, dispute resolution, and provisions intended by their nature to survive remain effective.
9. Disclaimers and limitation of liability
- To the extent permitted by law, the service is provided “as is” and “as available.” We make no unstated guarantee concerning a particular research conclusion, publication requirement, commercial purpose, or third-party compatibility.
- Loss caused by incorrect input, unsuitable method selection, failure to back up, third-party software, or a network environment is borne by the legally responsible party. Unreasonable exclusions do not apply to liability caused by our intent or gross negligence.
- To the extent permitted by law, our aggregate liability for one event is limited to the amount you actually paid for the directly related service. This limit does not apply where law prohibits limitation, including protected consumer rights, personal injury, or other non-excludable liability.
10. Updates to these Terms
We may update these Terms due to service or legal changes and will publish the update date here. A change materially affecting your rights or obligations will be announced through a prominent page notice, in-application notice, or another reasonable channel. Continuing to use the service after the effective date constitutes acceptance, except where law requires separate consent.
11. Governing law and disputes
- These Terms are formed, performed, and interpreted under the laws of mainland People's Republic of China.
- The parties should first attempt to resolve a dispute through good-faith consultation. If consultation fails, either party may bring an action in a court with lawful jurisdiction.
- If part of these Terms is invalid or unenforceable, the remaining provisions remain effective.
